Course Objective

The purpose of this course is to teach students foundations of commercial law in Turkey.

Introduction to Turkish Commercial Law; Commercial Enterprise in Turkish Commercial Law; Commercial Matters, Commercial Provisions, Commercial Litigation; Traders; Assistants Of Traders; Commercial Books, Trade Registry, Open Account; Trade Name, Commercial Enterprise Name, Trademarks; Investment, Intellectual Property and Patent Rights; A Brief Introduction to Unfair Competition; Commercial Companies;Legal Framework of Company Merger and Takeover; Outbound Acquisitions of Turkish Companies; A Brief Introduction to Commercial Papers

Course Learning Outcomes

  1. Students will be able to define the concepts of a commercial enterprise and a merchant and explain their legal consequences.
  2. Students will be able to identify the concept of commercial transactions and analyze the special provisions and consequences applied to them.
  3. Students will be able to define different types of commercial companies (such as joint-stock, limited liability, and general partnerships) and explain their establishment and operational processes.
  4. Students will be able to define the concept and types of negotiable instruments (such as promissory notes, bills of exchange, and checks) and explain their transfer and legal consequences.
  5. Students will be able to identify cases of unfair competition and analyze the importance and legal consequences of ethical principles in commercial activities.
